2. Description of Services

Emplaris provides energy management software and hardware solutions for healthcare facilities. Our services include real-time monitoring, predictive analytics, automated power distribution, and related support services.

3. User Accounts

To access certain features, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Providing accurate and complete information

7. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance and updates. We are not liable for any downtime or service interruptions.

8. Limitation of Liability

To the maximum extent permitted by law, Emplaris shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Emplaris from any claims, damages, or expenses arising from your use of the services, violation of these terms, or infringement of any rights of another party.

10. Termination

We may terminate or suspend your account immediately for violation of these terms. You may cancel your subscription at any time. Upon termination, your right to use the services will cease immediately.

11. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes via email or through the service. Continued use after changes constitutes acceptance of the new terms.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
